At the former iron foundry facility in Schaffhausen a total of 1 186 shareholders were present and 41.8percent of the share capital was represented.
In its consultative vote, the Annual Shareholders’ Meeting approved the 2012 Compensation Report. The Annual Shareholders’ Meeting also approved the distribution of a dividend from capital contribution reserves amounting to CHF 15 per share. Furthermore, the shareholders granted discharge to the responsible corporate bodies for activities in the 2012 fiscal year. The Shareholders’ Meeting re-elected Roman Boutellier, Zhiqiang Zhang and Roger Michaelis for three years. PricewaterhouseCoopers AG, Zurich, was re-elected as auditor for another one-year term of office.
