Agie Charmilles shareholders approve merger

On August 31, 2006, Georg Fischer AG made a public offer to purchase all the registered shares of Agie Charmilles Holding AG held by the public. On expiry of the final deadline on 13 October 2006, Georg Fischer had a 92.8% interest in Agie Charmilles. The purchase price as stated in the offer document was CHF 150 net for each Agie Charmilles share. The Agie Charmilles shares were delisted on 18 December 2006.

At an Extraordinary General Meeting of Shareholders held on 18 January 2007, the Agie Charmilles shareholders approved the merger of Agie Charmilles Holding AG with Rhenum Metall AG, a wholly owned subsidiary of Georg Fischer AG. Subject to approval by the Extraordinary General Meeting of Shareholders of Rhenum Metall AG, to be held on 24 January 2007, the merger will take effect with the entry in the commercial register, and Agie Charmilles Holding AG will thus be dissolved.

This step marks the successful conclusion of the complete integration of Agie Charmilles in the Georg Fischer Corporation.
