GF Annual Shareholders’ Meeting approves all proposals

Today’s 124th Annual Shareholders’ Meeting of Georg Fischer Ltd approved all proposals of the Board of Directors. Due to the coronavirus pandemic and the corresponding ordinance of the Swiss Federal Council, the meeting took place without the personal attendance of shareholders. Yves Serra was elected as the new Chairman of the Board. 

The shareholders of Georg Fischer Ltd were obliged to delegate their votes in advance to the independent proxy. The latter represented 1'857'004 votes, which corresponds to 66.8% of voting shares entered in the share register.

After serving on the Board of Directors for ten years, of which eight years as Chairman, Andreas Koopmann decided not to stand for re-election. Roman Boutellier, Member of the Board, was also not available for re-election, having reached the statutory age limit. The Board of Directors would like to thank Andreas Koopmann and Roman Boutellier for their many years of outstanding service to GF.

The Annual Shareholders’ Meeting approved all agenda items by a large majority. The shareholders elected Yves Serra as the new Chairman of the Board of Directors. Yves Serra was CEO of GF between 2008 and 2019 and has been Vice Chairman of the Board of Directors since 2019. The new Vice Chairman will be Hubert Achermann, who will at the same time assume the position of Independent Lead Director. Peter Hackel, CFO and Member of the Group Executive Management Board of Straumann AG, was elected as new Member of the Board of Directors. The Annual Shareholders’ Meeting also elected the members of the Compensation Committee. The constitution of the Audit Committee and of the Nomination Committee was determined by the Board of Directors (see separate document in the download section).
